Public Offer

TM «Persia» (hereinafter referred to as the «Service Provider»), registered and operating in accordance with the laws of Ukraine, acting pursuant to Articles 633 and 641 of the Civil Code of Ukraine, hereby offers an unlimited number of individuals to enter into this Service Agreement (hereinafter referred to as the «Agreement») under the terms and conditions set forth below:

1. Terms and General Provisions

  1. 1.1. The services for connecting to the online platform «Persia» (hereinafter referred to as the «Service») constitute a set of actions performed by the Service Provider in accordance with this Agreement, as a result of which the Client obtains the ability to remotely (via the Internet) use the «Persia» software under the terms of this Agreement.
  2. 1.2. Software — the «Persia» software designed to automate recruiters’ workflow.
  3. 1.3. Service Provider’s Website — the web page located at https://persiahr.com, which serves as the official source of information about the Service Provider and the services provided.
  4. 1.4. Public Offer — a proposal from the Service Provider, published on the Service Provider’s Website, addressed to an unlimited number of individuals in accordance with Ukrainian law, to enter into this Agreement under specified conditions.
  5. 1.5. Acceptance — full, unconditional, and irrevocable acceptance of the terms and conditions of this Public Offer by the Client.
  6. 1.6. Client — an individual aged 18 or older who has accepted the terms of this Public Offer and has paid for the Services.
  7. 1.7. Parties — collectively, the Service Provider and the Client.
  8. 1.8. Tariff Plan — a set of services provided under this Agreement that the Client may use according to the conditions published on the Service Provider’s Website.

2. Subject of the Agreement

  1. 2.1. The Service Provider undertakes to provide the Client with access to the «Persia» online platform (the «Service»), and the Client agrees to pay for such services in accordance with the selected Tariff Plan.

3. Service Fees and Procedure for Service Delivery

  1. 3.1. The Client independently registers in the Service.
  2. 3.2. The cost of the Services is determined based on the Tariff Plans published on the Service Provider’s Website. The Client gains access to the Service with the functionalities defined by the selected Tariff Plan.
  3. 3.3. The Client selects a Tariff Plan on the Service Provider’s Website and makes payment either via bank transfer or through a payment system.
  4. 3.4. Client’s payment of the corresponding Tariff constitutes acceptance of this Agreement, meaning full and unconditional consent to its terms and is equivalent to the Client’s personal signature under the Agreement.
  5. 3.5. Upon receipt of payment in the Service Provider’s account, this Offer shall be deemed accepted, and the Agreement shall be considered concluded.
  6. 3.6. Once the Offer has been accepted, unilateral termination of the Agreement by the Client is not permitted.
  7. 3.7. The Service Provider provides the Client with access to the Service according to the functionalities of the selected Tariff Plan.
  8. 3.8. The Service shall be considered rendered once the Client is connected to the Service according to the selected Tariff Plan.

4. Rights and Obligations of the Client

  1. 4.1. The Client has the right to:
    1. 4.1.1. Use the Service in accordance with the selected Tariff Plan.
    2. 4.1.2. Grant access to the Service to the Client’s employees who are authorized to work with such information (if such functionality is included in the selected Tariff Plan). The Client independently grants or revokes such access via the Service interface. All activities of such users (posting or editing information, accessing data) are deemed to be performed by the Client.
    3. 4.1.3. Receive consultations from the Service Provider on the use of the Service on business days from 9:00 to 18:00 Kyiv time.
    4. 4.1.4. Download resume files stored in the Service to their computer. The files are provided as an archive after completing the appropriate request form.
    5. 4.1.5. Receive email notifications about the Service’s operation and unsubscribe from such communications.
    6. 4.1.6. Send messages via the Service, provided that:
      1. 4.1.6.1. Messages are sent solely for the purpose of recruiting candidates for job openings.
      2. 4.1.6.2. The Client is prohibited from sending spam (messages to persons who have not given explicit consent), distributing false information, obscene language, or any content that violates the laws of Ukraine or the laws of the Client’s or candidate’s country.
  2. 4.2. The Client undertakes to:
    1. 4.2.1. Use the Service exclusively for its intended purpose — automation of recruitment processes.
    2. 4.2.2. Refrain from actions aimed at disabling or reducing the effectiveness of the Service Provider’s technical protection tools.
    3. 4.2.3. Maintain the confidentiality of third-party personal data entered into the Service.
    4. 4.2.4. Safely store login credentials for accessing the Service.
    5. 4.2.5. Grant access to the Service only through authorized means and only to persons who are entitled to access such data.
    6. 4.2.6. Comply with the provisions of the Law of Ukraine «On Personal Data Protection».

5. Rights and Obligations of the Service Provider

  1. 5.1. The Service Provider shall:
    1. 5.1.1. Provide the Client with access to the Service’s functionalities as defined by the selected Tariff Plan.
    2. 5.1.2. Not disclose any Client data stored in the Service to third parties. The Service Provider does not use or alter the data placed by the Client.
    3. 5.1.3. Apply industry-standard methods and technologies to ensure the confidentiality and security of data.
    4. 5.1.4. Upon request, provide the Client with the relevant accounting documents (invoices, acts, etc.).
    5. 5.1.5. The Service Provider reserves the right to unilaterally terminate the Agreement in the event of a violation of applicable law or this Agreement by the Client.
    6. 5.1.6. The Service Provider has the right to request from the Client documents verifying personal data if necessary for payment identification.
    7. 5.1.7. Conduct scheduled maintenance of the Service, during which the Service may be temporarily unavailable. The Client shall be notified at least one (1) calendar day in advance via the Service Provider’s Website.
    8. 5.1.8. In case of technical necessity, perform unscheduled maintenance.
    9. 5.1.9. The Service Provider is not responsible for the Client’s hardware or software configuration, nor for the quality of the Client’s Internet connection.
  2. 5.2. The Service Provider has the right to:
    1. 5.2.1. Restrict the Client’s access to the Service:
      1. 5.2.1.1. After the expiration of the selected and paid Tariff Plan;
      2. 5.2.1.2. In cases where the Client’s actions, in the Service Provider’s opinion, do not correspond to the intended use of the Service, threaten its functionality, or violate applicable law
    2. 5.2.2. 5.2.2. Partially or fully restrict the Client’s access to the Service if the Client sends messages via the Service that may be considered spam:
      1. 5.2.2.1. Messages that do not comply with the conditions set forth in clause 4.1.6 of this Agreement.
      2. 5.2.2.2. Messages that have been subject to complaints by users or authorized organizations.
    3. 5.2.3. Send informational emails to the Client regarding the operation of the Service.
    4. 5.2.4. Use information placed by the Client in the Service for statistical and system improvement purposes, but only in aggregated and anonymized form.
    5. 5.2.5. Modify the Service’s functionality without prior notice to the Client.
    6. 5.2.6. Use the Client’s trade name and trademark for placement on the Service Provider’s Website in the list of clients for informational purposes.

6. Term of the Offer

  1. 6.1. This Public Offer shall enter into force from the moment it is published on the Service Provider’s Website and shall remain in effect until withdrawn by the Service Provider
  2. 6.2. The Service Provider reserves the right to amend the terms of this Offer and/or withdraw the Offer at any time at its sole discretion. In the event that the Service Provider makes amendments to the Offer, such amendments shall take effect from the moment the updated text of the Offer is published on the Service Provider’s Website, unless another effective date is specified directly in the amended Offer.

7. Liability of the Parties

  1. 7.1. The Parties shall be liable for failure to perform or improper performance of their obligations under this Agreement in accordance with the current legislation of Ukraine.
  2. 7.2. The User shall bear full responsibility for the results of using the Service..
  3. 7.3. The User is solely responsible for all information posted within the Service (its accuracy, compliance with applicable laws, and potential infringement of third-party rights, etc.).
  4. 7.4. The User shall be fully responsible for maintaining the confidentiality of their access passwords to the Service and for any losses or damages arising from unauthorized use of their login, password, and/or access channel. The User is fully responsible for the activity of any users to whom they have granted access to the Service. The Administration shall not be liable for and shall not compensate any losses arising from unauthorized access by third parties to the User’s account information.
  5. 7.5. The Service Provider shall not be liable for the content or accuracy of any information posted on the Website by the User or by persons authorized by the User.
  6. 7.6. The Service Provider shall not be liable for any potential use of information published by the User in the Service by third parties, or for the consequences of such use, in cases where access to such information was obtained due to the User’s negligence (use of weak passwords, failure to maintain password confidentiality, or direct provision of access to third parties).
  7. 7.7. The Service Provider shall not be liable for any damages that may arise from the use of the Service or the inability to use the Service or certain of its functions.
  8. 7.8. The Service is provided on an «as is» basis. If any malfunctions, errors, or inconsistencies occur in the Service, the Service Provider shall make reasonable efforts to correct them. The User agrees that the obligation to correct such malfunctions, errors, or inconsistencies, as well as the timeframe for their correction, shall be determined solely by the Service Provider.
  9. 7.9. In any case, the financial liability of the Parties under this Agreement shall be limited to 10 (ten) percent of the cost of the service in accordance with the tariff plan selected and paid for by the User.

8. Force Majeure

  1. 8.1. 8.1. The Parties shall be released from liability for failure to perform their obligations if such failure is caused by circumstances beyond their reasonable control, including but not limited to military actions, natural disasters, technological or other accidents, strikes, lockouts, acts of government authorities, changes in the operation of third-party services, or other circumstances that make it impossible to fulfill the terms of this Agreement (hereinafter referred to as «Force Majeure»).

9. Termination of the Agreement

  1. 9.1. This Agreement shall be terminated:
    1. 9.1.1. Upon expiration of the selected tariff plan.
    2. 9.1.2. By mutual consent of the Parties.
    3. 9.1.3. If the performance of obligations under this Agreement becomes impossible due to the adoption of regulatory acts that change the terms established herein, and either Party does not agree to amend the Agreement accordingly.
    4. 9.1.4. In the event of the User’s violation of the terms of this Agreement
    5. 9.1.5. In other cases provided for by this Agreement and the current legislation of Ukraine.

10. Processing of Personal Data

  1. 10.1. The User hereby confirms that they voluntarily and without remuneration provide consent to the processing of their personal data (including surname, first name, patronymic, registered and/or actual place of residence, identification number, state registration data, banking details, telephone numbers, email addresses, etc.) in the personal data database of the Service Provider. Such processing includes collection, registration, inclusion in databases, accumulation, storage, adaptation, modification, updating, use, distribution (including transfer), anonymization, and destruction of personal data for the purpose of fulfilling obligations under this Agreement, as well as for ensuring the implementation of tax, commercial, civil, and accounting relations. The User consents to the transfer of their personal data to third parties in the minimum necessary volume and solely for the purpose of fulfilling obligations under this Agreement, where such transfer corresponds to the legitimate purposes of data collection.
  2. 10.2. The User confirms that they have been informed of their rights as defined by the Law of Ukraine «On Personal Data Protection» dated June 1, 2010, No. 2297-VI (as amended), as well as of the purpose of processing and collecting their personal data.

11. Final Provisions

  1. 11.1. By accepting this Offer, the User agrees that all disputes arising between the Parties under this Agreement shall be resolved through mutual consultations and negotiations. If the Parties fail to reach agreement through negotiations, such disputes shall be resolved in court in accordance with the current legislation of Ukraine. The Parties agree that all such disputes fall under the exclusive jurisdiction of the courts of Ukraine.
  2. 11.2. If any provision of this Offer is found to be invalid, this shall not affect the validity of the remaining provisions.
  3. 11.3. In all matters not covered by this Offer, the Parties shall be governed by the current legislation of Ukraine.
